1. Acceptance of Terms
By accessing or using the SoloFlow mobile application (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you and SoloFlow (“we,” “us,” or “our”). We reserve the right to modify these Terms at any time. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
2. Service Description
SoloFlow is a mobile-first business management application designed for freelancers and small businesses. The Service includes:
- Invoicing: Create, manage, and send invoices
- Quotes: Generate professional quotes and estimates
- Credit Notes: Issue credit notes for refunds and adjustments
- CRM: Manage customers and prospects
- Peppol E-invoicing: Electronic invoicing compliance (Premium only)
- Offline Access: Work without internet connectivity with automatic synchronization
The Service is provided in two tiers:
- Freemium: Limited to 1 document (invoice or credit note) per month
- Premium: Unlimited documents, advanced features, priority support (€9.99/month)
3. Account Registration and Eligibility
3.1 Age Requirement
You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement.
3.2 Account Information
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities under your account
3.3 Account Types
We support registration via:
- Email and password
- Google OAuth
- Apple Sign-In
You are responsible for maintaining the security of your authentication method.
4. Subscription Plans and Billing
4.1 Freemium Plan
The Freemium plan includes:
- 1 invoice or credit note per month
- Basic invoicing features
- Customer management
- Offline access
4.2 Premium Plan
The Premium plan (€9.99/month) includes:
- Unlimited invoices, quotes, and credit notes
- Peppol e-invoicing integration
- Advanced CRM features (prospects management)
- Priority customer support
- 14-day free trial for new users
4.3 Free Trial
New Premium subscribers receive a 14-day free trial. You will not be charged until the trial period ends. You may cancel anytime during the trial without charge.
4.4 Auto-Renewal
Premium subscriptions automatically renew each month unless canceled before the renewal date. You will be charged at the beginning of each billing period.
4.5 Cancellation
You may cancel your Premium subscription at any time through:
- The mobile app settings
- Your App Store or Google Play account settings
- Contacting customer support at support@soloflow.online
Cancellation takes effect at the end of the current billing period. You will retain Premium access until that date.
5. Payment Terms
5.1 Payment Processing
All payments are processed securely through Stripe. We do not store your complete payment card information.
5.2 Currency
All prices are in Euros (EUR). Prices may vary by region due to local taxes and currency conversion.
5.3 Taxes
You are responsible for all applicable taxes, including VAT. Prices are displayed inclusive of VAT where applicable.
5.4 Refund Policy
Premium subscription fees are refundable within 14 days of the initial charge or renewal charge if you have not used Premium features during that period. To request a refund, contact support@soloflow.online.
Freemium users are not charged and therefore not eligible for refunds.
5.5 Price Changes
We may change subscription prices with 30 days’ advance notice. Price changes do not affect your current billing period.
6. Acceptable Use and User Obligations
6.1 Permitted Use
You may use the Service only for lawful business purposes in compliance with:
- These Terms
- All applicable local, national, and international laws
- Tax and accounting regulations in your jurisdiction
6.2 Prohibited Activities
You agree NOT to:
- Use the Service for illegal activities or fraud
- Generate false or misleading invoices
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble the Service
- Use automated tools to scrape, copy, or extract data
- Resell or redistribute the Service without authorization
- Upload malicious code, viruses, or malware
- Impersonate others or misrepresent your affiliation
- Harass, abuse, or harm other users
- Violate intellectual property rights
6.3 Compliance with Tax Laws
You are solely responsible for:
- Accurate tax calculations and reporting
- Compliance with tax regulations in your jurisdiction
- Filing tax returns and remitting taxes owed
- Maintaining proper business records
SoloFlow provides tools to assist with invoicing but does not provide tax or legal advice.
7. Intellectual Property Rights
7.1 SoloFlow Property
The Service, including all software, designs, text, graphics, logos, and trademarks, is owned by SoloFlow or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
7.2 User Data
You retain all rights to the data you create using the Service, including:
- Invoices, quotes, and credit notes
- Customer and prospect information
- Business records and documents
By using the Service, you grant us a limited license to store, process, and transmit your data solely to provide the Service.
7.3 Feedback
Any suggestions, ideas, or feedback you provide about the Service may be used by us without compensation or attribution.
8. Data Privacy and Security
8.1 Privacy Policy
Our collection and use of personal data is governed by our Privacy Policy, available at https://soloflow.online/privacy.
8.2 Data Security
We implement industry-standard security measures to protect your data, including:
- Encryption in transit (TLS/SSL)
- Encryption at rest for sensitive data
- Row-level security and access controls
- Regular security audits
However, no system is completely secure. You use the Service at your own risk.
8.3 Data Backup
We perform regular backups of user data. However, you are responsible for maintaining your own backups of critical business information.
9. Service Availability and Support
9.1 Uptime Commitment
We strive to maintain 99% service availability on an annual basis, calculated monthly. This excludes:
- Scheduled maintenance (announced 48 hours in advance)
- Force majeure events
- Issues caused by third-party services
- User-side connectivity problems
9.2 No Warranty
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
For Freemium users, we provide no guarantee of service availability, performance, or support.
9.3 Support
Premium users receive priority email support with response times of 24-48 hours during business days (Monday-Friday, 9:00-17:00 CET).
Freemium users receive community support on a best-effort basis.
10. Limitation of Liability
10.1 Indirect Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLOFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Lost profits or revenue
- Loss of data or business opportunities
- Business interruption
- Reputational harm
10.2 Direct Damages Cap
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to SoloFlow in the 12 months preceding the claim.
10.3 Essential Purpose
Some jurisdictions do not allow limitation of liability. In such cases, our liability is limited to the extent permitted by law.
11. Indemnification
You agree to indemnify and hold harmless SoloFlow, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Violation of these Terms
- Violation of any law or third-party rights
- Content you submit or generate using the Service
12. Account Termination and Data Retention
12.1 Termination by You
You may terminate your account at any time by:
- Deleting your account through the app settings
- Contacting support@soloflow.online
12.2 Termination by Us
We may suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent activity
- Fail to pay Premium subscription fees
- Remain inactive for more than 12 months (Freemium only)
We will provide 7 days’ notice before termination unless immediate action is required for security or legal reasons.
12.3 Data Export
Before account deletion, you have 30 days to export your data through the app’s export feature. After 30 days, your data will be permanently deleted.
12.4 Legal Retention
We may retain certain data for legal compliance, including:
- Transaction records (7-10 years per Belgian/EU accounting law)
- Tax-related documents
- Records required for fraud prevention
13. Dispute Resolution
13.1 Informal Resolution
Before filing a legal claim, you agree to attempt to resolve disputes by contacting us at legal@soloflow.online. We will attempt to resolve disputes within 30 days.
13.2 Mediation
If informal resolution fails, both parties agree to attempt mediation before litigation.
14. Governing Law and Jurisdiction
14.1 Applicable Law
These Terms are governed by the laws of Belgium, without regard to conflict of law principles.
14.2 Jurisdiction
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.
14.3 European Union Rights
If you are a consumer in the European Union, you retain rights under EU consumer protection laws that cannot be waived by these Terms.
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SoloFlow regarding the Service.
15.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.
15.3 No Waiver
Our failure to enforce any provision does not constitute a waiver of that provision.
15.4 Assignment
You may not assign these Terms or your account without our written consent. We may assign these Terms to any successor entity.
15.5 Language
In case of conflict between translated versions of these Terms, the English version prevails.
